Located in northern Portugal, Allied Critical Metals is advancing two complementary strategic tungsten assets Borralha and Vila Verde as part of its strategy to establish a significant European source of tungsten production. Borralha is the cornerstone asset, combining a historically productive tungsten system with strong geology, established infrastructure and access to European markets, supported by a fully funded 25,000-metre drilling program focused on resource growth.

Just 45 km southeast of Borralha, the Vila Verde Tungsten-Tin Project provides a complementary near-term development opportunity. The brownfield property includes the historic Valedas Gatas Mine and is being advanced through a phased pilot-to-scale strategy, beginning with a planned 150,000-tonne-per-year operation with potential expansion to 300,000 tonnes annually. Together, Borralha and Vila Verde provide Allied with a combination of long-term resource growth and near-term production potential in Portugal.

The cap table below excludes the Company’s US$40 million financing announced on April 24, 2026, comprised of US$25 million in equity at $2.05 per common share and US$15 million in project financing.

  1. Finder Warrants: Aug 18 2025 Placement – 1,072,659 finders’ warrants @ $0.30 per Unit (1 share + ½ $0.40 warrant), 2-year term. Total fully diluted shares of 1,608,989. These are recorded at their stated exercise prices; the $0.40 investor-warrant from the Aug 18 Units is included at the $0.40 price level
  2. Property Vendor Share Grants (Unvested):
    Borralha Tungsten Project Vendor – $1.34 M face value, vesting no earlier than 12 months + 1-day post-April 17, 2025, convertible into a number of common shares determined by a share price equal to the greater of C$0.30/share or 20-day VWAP, for no additional consideration. Upon vesting all shares will be subject to a 3-year escrow, in addition to a full 2-year lock-up.
    Vila Verde Project Vendor – $2.68 M face value, vesting no earlier than 36 months + 1-day post-April 17, 2025 and only upon issuance of a definitive mining exploration license for commercial production at commercially viable levels from the Corporation’s Vila Verde Tungsten Project in Portugal on or before April 17, 2028, otherwise expires unvested. Convertible into a number of common shares determined by a share price equal to the greater of C$0.40/share or 20-day VWAP, for no additional consideration.
